Terms of Use

1. Scope

These Terms of Use (the “Terms of Use”) apply to the website located at https://behavioursolutionslab.com (the “Website”). The Website is provided by Behaviour Solutions Lab GmbH (“BSL”), a company incorporated under the laws of Switzerland.

BY USING THE WEBSITE OR ACCESSING THE LAB, YOU AGREE TO THESE TERMS OF USE. IF YOU DO NOT AGREE TO THESE TERMS OF USE, DO NOT USE THE WEBSITE OR ACCESS THE LAB. 

2. General

The Website contains video tutorials, related content and other information, which BSL provides against remuneration (the “Lab”). Access to the Lab requires the conclusion of a contract (the “Contract”) between BSL and the person or entity named in the Contract (the “Customer”). The Contract particularly contains the rights and obligations of (i) BSL and the Customer concerning the Lab and associated services (the “Services”) and (ii) each person authorised to access and use the Lab on the Customer’s behalf (the “User(s)”). The User(s) can access the Lab via mobile devices and personal computers with the username and password provided by the Customer (the “Access Credentials”).

3. Title to the Website and the Lab

BSL retains title to the Website and the Lab and does not convey any ownership therein to you.

All content of the Website and the Lab (such as videos, companion documents, images, photographs, graphics, text, logos, audio recordings, music and artwork) is owned by or licensed to BSL, and is protected by intellectual property rights and unfair competition laws.

4. Right to Use the Lab

As a User, BSL grants you a non-exclusive, non-transferable, non-assignable, revocable right to use the Lab in accordance with these Terms of Use, until the termination of your employment or engagement with the Customer, or the termination of the Contract, whichever occurs first. “Use” in this sense means your personal use of the Lab to address behavioural issues.

5. Restrictions on Use

Except as provided in these Terms of Use, you must not:

(a) Copy, modify or create derivative works of any part of the Website or the Lab.

(b) Assign, transfer, give, distribute, transmit, sell, lease, loan, license or sublicense to others or upload, post, publicly display or perform or encumber any part of the Lab by any means.

(c) Create Internet “links” to the Lab or “frame” or “mirror” the Lab on any other server or wireless or Internet-based device, or in any other way allow third parties to access, use and/or exploit any part of the Lab.

(d) Use the Website or the Lab, in whole or in part, to create a competitive offering.

(e) Charge a fee to others for access to or use of the Lab.

(f) Download any content other than such content specifically designated on the Website or in the Lab for downloading (such as companion documents) or remove any proprietary notice language in such downloads.

(g) Upload, post, transmit to or otherwise make available on the Website or in the Lab any information, content or data which (i) contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of the Website, the Lab or any part thereof, (ii) infringes any rights of third parties, or (iii) is illegal or inappropriate.

(h) Access the Lab by any means other than with the Access Credentials.

(i) Use the Website or the Lab in a manner inconsistent with these Terms of Use. 

6. Access Credentials

As a User, you are responsible for the confidentiality and use of the Access Credentials. The Access Credentials must not be shared with others and may only be used for your personal access to the Lab. Upon becoming aware of any unauthorised use of the Access Credentials, or risk thereof, you must promptly notify BSL at hello@behavioursolutionslab.com.

7. Privacy

BSL’s Privacy Policy applies to the use of the Website and the Lab.

8. Warranties and Disclaimers

BSL warrants that (i) the Lab has been compiled with due care, skill and judgment and (ii) the Services shall be provided by persons with the necessary qualifications and experience.

BSL makes no other warranties, expressed or implied, and specifically disclaims any implied warranty of merchantability or fitness for a particular purpose.

BSL further disclaims particularly that the Lab and the Services (i) will be complete, error free or that their use will provide specific results, or (ii) can be used for medical advice, diagnosis or treatment; the use of the Lab and the Services is for educational purposes only and is not intended to substitute or replace professional medical advice, diagnosis or treatment.

9. Breaches and Liability

If you breach these Terms of Use, you shall be liable to BSL for any type of loss or damage arising out of or in connection with such breach.

If you materially or repeatedly breach these Terms of Use, and such breach is not remedied promptly, BSL has the right to block your access to the Lab. In addition, BSL may terminate the Contract, in which case the Customer may take recourse against you.

BSL excludes to the maximum extent allowed by applicable law all liability, howsoever caused, for any type of loss or damage arising out of or in connection with these Terms of Use, the Lab and the Services.

10. Links

As a convenience to you, the Website and the Lab contain links and references to external websites of third parties. BSL has no influence on the content of such websites and therefore excludes all responsibility and liability for such websites.

11. Feedback

You are welcome to provide BSL with feedback, suggestions or ideas. Any such information shall be deemed to be non-confidential and BSL shall be free to use it on an unrestricted basis. All intellectual property rights to any content created with such information shall solely vest with BSL.

12. Validity

These Terms of Use shall apply throughout the entire period of your use of the Website or the Lab.

BSL reserves the right to amend these Terms of Use from time to time. Any such amendments will be published on the Website. Your continued use of the Website respectively the Lab following such amendments will mean that you accept and agree to such amendments.

13. Applicable Law and Place of Jurisdiction

These Terms of Use shall be governed exclusively by Swiss law. The exclusive place of jurisdiction for any disputes arising out of these Terms of Use shall be Zurich, Switzerland. Notwithstanding this, BSL shall have the right to take legal action against you at the court having jurisdiction at the place of your domicile or at any other competent court.
